  • Jazz Pharmaceuticals agreed to acquire Actio Biosciences for $820 million upfront, plus up to $500 million in approval and sales milestones, in a deal expected to close by Q4 2026.
  • San Diego-based Actio develops ABS-1230, a first-in-class oral small-molecule inhibitor of the KCNT1 ion channel, targeting a rare genetic epilepsy with no FDA-approved therapies.
  • ABS-1230 has shown meaningful seizure reductions in early proof-of-concept data and is now in the Phase 1b/2a KYRON trial, designed to support a future FDA application.
  • As part of the deal, Actio will spin out most of its pipeline, staff, and management into a new, existing-investor-funded company focused on genetic rare neurological diseases; Jazz will hold a minority equity stake in that spinout.
