Acquisition

SpaceX closes $60B all-stock acquisition of AI coding startup Cursor

August 24, 2026

Deal Value

$60B

The tie-up exposes how far Musk's Grok has fallen behind rivals, and it just triggered OpenAI to cut off Cursor's model access.

  • SpaceX completed an all-stock acquisition of Anysphere, maker of the AI coding tool Cursor, converting Cursor shares into SpaceX Class A stock at an implied $60 billion equity value.
  • Cursor is an AI coding agent that reads a codebase, edits files and debugs errors from natural-language instructions; founded in 2022 by four MIT dropouts, it hit roughly $3 billion in annualized revenue by early 2026.
  • The deal began as an April tech-sharing agreement that gave SpaceX an option to buy Cursor for $60B or pay a $10B breakup fee if it walked away; SpaceX exercised the option in June and closed in August.
  • Days after the deal closed, OpenAI said it will stop supplying AI models to Cursor, an escalation in the Musk-Altman rivalry, while Anthropic said it would boost Claude model support inside Cursor instead.
  • On an all-hands call with over 1,000 Cursor engineers, Musk reportedly said SpaceX's AI unit trails rivals and singled out Anthropic as the current leader in the AI race, framing Cursor's talent as the fix.
  • The acquisition folds a leading AI coding agent directly into SpaceX's rocket, spacecraft and satellite software stack, testing whether owning a model developer can offset the huge compute costs SpaceX already pays outside vendors like Anthropic and Google.
