Autodesk buys MaintainX in $3.6B all-cash deal

Autodesk has entered a definitive agreement to acquire MaintainX in an all-cash transaction valued at approximately $3.6 billion. The deal makes MaintainX a wholly owned Autodesk subsidiary and is expected to close later in Autodesk’s 2026 fiscal year, subject to regulatory and other customary closing conditions. Autodesk said it will fund the purchase with cash on hand and debt financing.

The agreement includes customary purchase-price adjustments, with part of the consideration to be held in escrow for indemnification and related obligations. Autodesk also plans to grant $150 million in restricted stock units to continuing MaintainX employees after closing, signaling an effort to retain key staff as it integrates the business.

MaintainX sells maintenance and operations software used to manage work orders, inspections and asset upkeep, and Autodesk said the acquisition advances its push into operations across the built-environment lifecycle. The company said MaintainX expects more than $135 million in annualized recurring revenue for calendar 2026, with growth above 50%, making it one of Autodesk’s largest growth-oriented bets outside its core design software base.
