Ondas acquires Israeli fuzing maker Gate Technologies for $205M

The deal adds the safety-and-arming layer inside missiles and drones, a component every precision weapon needs but few companies build.

  • Ondas Inc. (Nasdaq: ONDS) acquired Israel-based Gate Technologies and its Polish affiliate Bron Technologies for $205 million, paid as $105 million in cash and $100 million in Ondas stock, plus a working capital adjustment.
  • Founded in 2006, Gate designs Electronic Safe & Arm Devices and electronic fuzing systems that keep munitions safe until launch, with tech integrated into more than 90 weapon systems including missiles, rockets, UAVs and loitering munitions.
  • Sellers can also collect up to $185 million in performance-based earn-outs tied to financial targets through 2028, pushing the deal's maximum total value to roughly $390 million.
  • Ondas expects the acquired business to generate $65 million in revenue in 2026, growing to $180 million by 2028, with more than $130 million of cumulative Adjusted EBITDA over that span.
  • Bron's manufacturing base in Poland gives Ondas NATO-compliant, non-ITAR production capacity, easing access to U.S. and European defense procurement programs that restrict Israeli-made components.
  • The purchase extends Ondas's string of Israeli defense acquisitions that began with drone maker Airobotics and has since included Iron Drone, Sentrycs, Omnisys and Apeiro Motion.
  • Electronic fuzing is becoming essential as militaries replace mechanical fuzes with software-configurable arming systems, and this deal gives Ondas a foothold in the loitering-munitions market projected to grow from $5.4B to $13.3B by 2030.
