Allegiant completed its Sun Country purchase on May 13, 2026, for about $1.5 billion including debt, paying cash and stock for each share.

Allegiant Travel Company completed its acquisition of Sun Country Airlines Holdings on May 13, 2026, after receiving regulatory approvals and shareholder consent. The deal was originally valued at about $1.5 billion including debt, and Sun Country shareholders received $4.10 in cash plus 0.1557 Allegiant shares for each Sun Country share.

The merger brings together two U.S. leisure carriers that will keep operating separately in the near term under their existing brands. Allegiant said there are no immediate changes to reservations, flight schedules, loyalty programs, or frontline roles, and Sun Country common stock has stopped trading on Nasdaq.

Allegiant said the combined airline will serve about 22 million annual customers across nearly 175 cities with more than 650 routes and a fleet of 195 aircraft. The company expects about $140 million in annual synergies within three years, driven by network expansion, scale efficiencies, fleet optimization, and procurement benefits.
