- WiseTech Global agreed to acquire FRDM.ai, paying $10 million upfront in cash and shares plus up to $14.31 million in all-cash earn-outs, valuing the deal at as much as $24.3 million.
- Founded in California in 2018, FRDM.ai maps supplier networks beyond direct vendors and scores risks in real time, including forced labor, sanctions, cyber exposure and geopolitical threats across multiple tiers.
- FRDM.ai's technology draws on more than six billion trade records to build risk profiles aligned with regulations like UFLPA, CSDDD, LkSG, CBAM and the EU Deforestation Regulation.
- WiseTech will merge FRDM.ai with BorderWise, Denied Party Screening and Global Knowledge to launch VerifyWise, a platform for multi-tier supplier verification and real-time compliance alerts.
- WiseTech will fund part of the deal by issuing 192,150 new shares worth roughly AUD 6.5 million, subject to a 12-month voluntary escrow, alongside cash consideration.
- The acquisition is expected to close on August 3, 2026, and will extend compliance capabilities across WiseTech's network of over 22,000 logistics providers and 500,000 connected enterprises.
