Schneider Electric to acquire Shelly Group for about €1.2B

The French energy giant is betting smart-home sensors and plugs will feed its building energy-management platform.
- Schneider Electric agreed to acquire Bulgaria's Shelly Group SE via a voluntary public tender offer of €70 in cash per share, valuing the company at roughly €1.2 billion ($1.4B) excluding debt.
- Shelly Group, based in Sofia, makes IoT smart-home devices including sensors, smart plugs and lighting systems, and trades on exchanges in Frankfurt and Sofia.
- The €70 offer represents a 27% premium to Shelly's unaffected reference price from July 28, 2026, and a 22% premium to the September 23 reference price.
- Shelly's co-founders Dimitar Dimitrov and Svetlin Todorov, who together own about 57% of the company, back the deal and have agreed to sell their shares under certain conditions.
- Completion is contingent on Schneider reaching a 95% acceptance threshold and clearing regulatory approvals in Bulgaria, with closing expected by Q1 2027.
- Schneider Electric already runs the EcoStruxure IoT platform deployed across roughly 480,000 sites, and the acquisition would extend that reach into consumer smart-home hardware.
- The deal signals large industrial energy-management players are moving to absorb consumer IoT device makers, blurring the line between home automation and building-scale energy control.
