Agilent to acquire pathology software startup Proscia for up to $270M
October 13, 2026
Deal Value
$270M
A 2022 distribution partnership already proved out Proscia's software inside Agilent's own slide scanners.
- Agilent Technologies signed a definitive agreement to acquire Proscia in an all-cash deal worth $240M at closing plus up to $30M in performance-based milestones, expected to close early in Agilent's fiscal 2027.
- Proscia, founded in Philadelphia in 2014, makes Concentriq, software that converts physical pathology slides into digital images analyzed with AI tools.
- Proscia serves more than 4,000 labs, hospitals and clinics and 16 of the top 20 pharmaceutical companies, with trailing twelve-month revenue exceeding $18M.
- The deal builds on a September 2022 multi-year distribution partnership in which the two companies already sold a combined digital pathology system.
- Proscia has raised roughly $130M since its 2014 founding, including a $50M round led by Insight Partners announced in March 2025.
- Agilent, a roughly $7B-revenue lab equipment maker that already sells its own whole-slide imaging scanner, is buying software its own announcement describes as vendor-agnostic.
- The deal signals hardware makers moving to own the AI software layer atop diagnostic instruments rather than just distribute it, as digital pathology adoption accelerates.
